Corjl Affiliate Program Agreement

This agreement describes the terms and conditions for participation in the Corjl Affiliate Program. In this agreement, the term “Participant” refers to you (the applicant) and “Corjl” refers to the affiliate program administrator, Corjl Software, LLC. By signing up with the Corjl Affiliate Program, you acknowledge that you have read this agreement in its entirety and agree to all its terms and conditions.

Enrollment

To enroll in the Corjl Affiliate Program, you must:

1. be an active Corjl subscriber and agree to Corjl’s Terms of Use – Conditions of Service
2. agree to sign up with Tipalti, a trusted payments processor known worldwide for their banking compliance and ease of use;
3. be accepted by Tipalti as an approved Payee. You hereby acknowledge that the Corjl Affiliate Program will only pay out those Payee accounts approved by Tipalti.

Commissions – PAPERLESS POST

You must first add the Paperless Post integration to your account in order to get paid on any referred orders. Thereafter, Corjl will pay a 10% referral fee of your referred users’ first purchase on Paperless Post within 30 days as tracked by Paperless Post’s last touch attribution. The referral fee will be paid after Corjl has received the reconciled data from Paperless Post, approximately 45 days. Until a dashboard is available, this data and any payment information will be uploaded to your Tipalti account with attribution records to be emailed to you at the same time.

Payment

Corjl remits payment to Participant via the agreed upon means approved by Tipalti, less processing fees. There must be a minimum of $10.00 (Ten Dollars USD) to be paid out before funds will be available. If your payment information changes, it is your responsibility to update your information in the Tipalti dashboard to ensure proper commission payments. A processing fee will be applied to resend payments returned due to incorrect account information.

Relationship of Parties

Participants are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Participants have no authority to make or accept any offers or representations on our behalf. Participants will not make any statement, whether on their sites or otherwise, that reasonably would contradict this statement.

Term and Termination

The term of this Agreement will begin when you are approved by Tipalti and will end when terminated by either party, including when you are no longer a Corjl subscriber. Corjl in its sole discretion, may terminate or restrict your use or access to the Corjl Services (or any part thereof) for any reason, including, without limitation, if we believe you have violated or acted inconsistently with the letter or spirit of Corjl’s Terms of Use, or if you are in breach of the terms of the Terms of Use.

Corjl reserves the right to suspend or deactivate your account or your access to certain aspects or all Corjl Services, or to terminate these Terms of Use, at our sole discretion, at any time and without notice or liability to you or any obligation to refund any portion of fees paid by you. Upon any such suspension, deactivation, or termination, we may delete or remove Your Content and other information related to your account. Upon such termination, you will immediately destroy any copies of Corjl Content of the Corjl Services, whether in printed or software format in your possession and discontinue your access and use of the Corjl Content and Corjl Services.

You may terminate your agreement to these Terms of Use by closing your account and discontinuing your access and use of the Corjl Content and Corjl Services.

Upon any termination of these Terms of Use or suspension, termination, or discontinuation of your use and access to the Corjl Services or your account, the provisions of these Terms of Use listed below will survive:

Modification

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Corjl Affiliate Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM, it will be considered as your acceptance of the change. Any changes made will be announced via email.

Disclaimers

We make no express or implied warranties or representations regarding Corjl’s Affiliate Program and a Participant’s potential to earn income from the Corjl Affiliate Program. In addition, we make no representation that the operation of the websites or Participant’s links, if any, will be uninterrupted or error-free, and Corjl will not be liable for the consequences of any interruptions or errors.

Limitation of Liability

IN NO EVENT WILL CORJL or its officers, directors, employees, affiliates, agents, licensors, contractors, SUPPLIERS, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE CORJL WEBSITE AND/OR CORJL SERVICES (“CORJL RELATED PARTIES”) BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER OR ANY DIRECT OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA OR GOODWILL, BUSINESS OR SERVICE INTERRUPTION, OR CAUSED BY OR RELATED TO ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, LINE FAILURE, AND ALL OTHER DIRECT,) ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE CORJL WEBSITE AND/OR CORJL SERVICES, ANY THIRD-PARTY WEBSITE OR RESOURCES DIRECTLY OR INDIRECTLY RELATED TO CORJL, OR THE MATERIALS OR INFORMATION OR SERVICES CONTAINED THEREIN, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT CORJL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IF YOUR USE OF THE CORJL SERVICES RESULTS IN THE NEED FOR SERVICING, REPAIR OR CORRECTION OF EQUIPMENT OR DATA, YOU ASSUME ALL COSTS THEREOF.

NOTWITHSTANDING THE FOREGOING, THE TOTAL LIABILITY OF CORJL TO OR ANY CORJL RELATED PARTY TO YOU FOR ANY AND ALL LOSSES, DAMAGES, AND CAUSES OF ACTION, INCLUDING BUT NOT LIMITED TO THOSE BASED ON CONTRACT, TORT OR OTHERWISE, ARISING OUT OF YOUR USE OF OR DIRECTLY OR INDIRECTLY RELATED TO THE CORJL WEBSITE AND/OR CORJL SERVICES, SHALL NOT EXCEED US$100.00. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN CORJL AND YOU.

APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
